Conditions of Sale
These Conditions of Sale govern the sale of Harrick Manufacture products through Harrick-operated sales channels. Please read them carefully before placing an order.
1. About Harrick Manufacture and These Conditions of Sale
These Conditions of Sale apply to purchases of Harrick Manufacture timepieces and related services made directly from Harrick Manufacture (“Harrick,” “we,” “us,” or “our”) through our website, written correspondence, electronic invoice, or direct communication with Harrick representatives (collectively, the “Sales Channels”). Harrick Manufacture is a trade name of The Aviary TKP, Inc., a Delaware corporation.
By placing an order, you agree to be bound by these Conditions of Sale, as well as any policies expressly incorporated by reference, including our Shipping & Delivery Policy and any applicable allocation or reservation terms communicated to you in writing. Sales made through third parties or authorized retailers are not governed by these Conditions of Sale.
If you do not agree to these Conditions of Sale, you may not place an order through the Sales Channels.
2. Updates to These Conditions of Sale
We may update these Conditions of Sale from time to time. The version in effect at the time you place your order will govern that order. Any changes made after an order is placed will not affect that order unless required by applicable law.
3. Purchasing Eligibility
Orders may only be placed by individuals who have reached the age of legal majority and have the legal capacity to enter into binding contracts. By placing an order, you represent that you are purchasing as an end user for personal use and not for resale, commercial distribution, or speculative purposes. Harrick reserves the right to refuse or cancel orders that appear to violate this requirement.
4. Product Availability and Allocation
Harrick timepieces are produced in limited quantities. Availability is subject to production capacity, component supply, and quality control requirements. Certain models are delivered through an allocation or reservation system. Allocation does not guarantee immediate availability or delivery by a specific date. Harrick reserves the right to limit quantities, decline allocation requests, or reassign production capacity at its discretion. Product descriptions, renderings, and specifications are provided for reference and may change prior to delivery due to technical, regulatory, or production considerations.
5. Orders, Reservations, and Deposits
Orders may be placed through the Sales Channels once availability is confirmed. For allocated or reserved pieces, Harrick may require a deposit to secure production capacity. Deposits are applied toward the final purchase price and are generally non-refundable, except where required by law or expressly agreed in writing. The remaining balance is due prior to shipment. Harrick is not obligated to ship or release a product until full payment has been received and cleared.
6. Order Acceptance
After an order is placed, you will receive a written acknowledgement confirming the details of your request. This acknowledgement does not constitute acceptance of your order. A binding sales contract is formed only when Harrick issues a written confirmation that the order has been accepted and prepared for shipment. Harrick reserves the right to refuse, cancel, or terminate an order at any time prior to shipment for reasonable grounds, including but not limited to payment issues, suspected fraud, regulatory concerns, or production constraints. In such cases, any amounts paid will be refunded.
7. Prices, Taxes, and Payment
All prices are stated exclusive of taxes unless otherwise indicated. Applicable sales tax, use tax, VAT, duties, or similar charges are determined based on the delivery destination and are the responsibility of the purchaser unless expressly stated otherwise. Payment methods are specified at the time of order. Harrick may require additional verification or documentation prior to accepting payment. Payment authorization does not constitute order acceptance.
8. Processing and Preparation
Once a watch has completed assembly, regulation, inspection, and documentation, orders are typically prepared for shipment within 1–3 business days. Preparation timelines may extend during periods of increased delivery volume or due to quality control findings.
9. Shipping and Delivery
Shipping is governed by Harrick’s Shipping & Delivery Policy, which is incorporated into these Conditions of Sale by reference. Harrick selects the carrier and service level based on destination, shipment value, and security requirements. Adult signature is required upon delivery. Delivery timelines are estimates only and are not guaranteed.
10. Delivery Delays
Delays may occur due to events outside Harrick’s control, including carrier disruptions, weather, customs processing, regulatory requirements, labor actions, or incorrect delivery information provided by the purchaser. International shipments may experience additional delays due to customs clearance or inspection. Harrick is not responsible for delays caused by governmental authorities once the shipment has entered the destination country. Harrick’s sole obligation in the event of a delivery delay is to provide reasonable status updates when available.
11. Risk of Loss
Risk of loss and responsibility for the product transfer to the purchaser upon confirmed delivery and signature at the delivery address. If a shipment is lost or damaged in transit prior to delivery confirmation, Harrick will coordinate directly with the carrier and insurer to address the issue.
12. Cancellations
Orders for standard, non-allocated products may be cancelled prior to shipment, subject to administrative processing. Orders for allocated, reserved, personalized, or production-committed pieces may not be cancelled once production has commenced, except where required by law or expressly agreed in writing.
13. Returns and Exchanges
Returns and exchanges, if offered, are governed by Harrick’s Returns Policy. Certain products, including allocated pieces, personalized items, and made-to-order configurations, may be non-returnable. Returned products must be unused, unaltered, and in original condition, with all packaging and documentation intact. Harrick reserves the right to refuse returns that do not meet these requirements.
14. Warranty and Service
Harrick timepieces are covered by the applicable Harrick Manufacture warranty. Warranty coverage and service procedures are described in the warranty documentation provided with the product. These Conditions of Sale do not affect any mandatory consumer rights provided under applicable law.
15. Limitation of Liability
To the fullest extent permitted by law, Harrick’s liability for any claim arising out of or related to an order shall not exceed the purchase price paid for the product giving rise to the claim. Harrick is not liable for indirect, incidental, or consequential damages, except where such limitation is prohibited by law.
16. Force Majeure
Harrick is not responsible for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, supply chain disruptions, or labor shortages.
17. Governing Law
These Conditions of Sale are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
